GENERAL TERMS AND CONDITIONS

The present General Terms and Conditions shall form an integral part of any contract concluded between EUROLINGUO and the translation clients. The invalidity of individual elements of the SPP does not affect the validity of other provisions. In the event of any inconsistency between the present SPP and the Contract, these provisions shall prevail.
Introductory provisions
The present General Terms and Conditions (GTC) shall apply to all current and future business dealings of EUROLINGUA with our customers and shall apply even if EUROLINGUA does not expressly draw attention to the contents of the GTC at the time of acceptance of orders. Customers accept SPPs by publishing them on websites and by placing an order. The SPP applies throughout the period of the business contacts. EUROLINGUA shall perform its services or contracts exclusively on the basis of the SPP in question. EUROLINGUA does not recognise SPP subscribers and they are not binding on us unless EUROLINGUA explicitly acknowledges them in writing. Verbal agreements are only valid if confirmed in writing by EUROLINGUE.
Data protection
EUROLINGUA treats all orders in strict confidence. In the case of electronic communication between the client, EUROLINGUO and the translator, we cannot guarantee 100% confidentiality. In the case of transfers sent by post or by any other registered parcel delivery company, the risk of loss, accidental damage or delayed delivery passes to the customer at the moment the parcel is handed over to the post office or parcel delivery company. EUROLINGUA accepts no liability for damages beyond the guarantee of the post office or delivery company.
EUROLINGUA reserves the right to store translations and customer data for administrative purposes and within the meaning of the Data Protection Act, unless otherwise agreed at the customer’s request.
Offers, order confirmations and ordering
Our offers are non-binding and non-binding.
The contract with EUROLINGUE is concluded upon receipt of the Customer’s order by electronic means, in person, by post or by fax and upon transmission of the order confirmation by EUROLINGUE. Verbal agreements and changes to orders shall be in writing only.
Competition clause
The Parties agree not to employ or otherwise work with the other Party’s employees for a period of 12 months after the end of the collaboration.
Prices
Unless expressly confirmed in writing, the prices published or contained in the Offers shall not be binding on EUROLINGUO. EUROLINGUA may adjust prices to actual and changed circumstances without prior notice. Unless otherwise agreed, all prices are expressed in EUR. The prices quoted in the tenders are net prices and do not include value added tax, unless the amount of VAT is specifically mentioned. The agreed or quoted terms apply, without discounts or rebates, unless expressly agreed (in writing).
Translations are charged on the basis of the number of characters (1 page = 1500 characters without spaces) or words (1 page = 250 words). When calculating pages, we take into account the source text if it is received in Word format. If the material has been sent to us in other formats (e.g. PDF, written, etc.), we will take the translated text into account for the billing.
Proofreading, editing, editing of material, post-editing of texts, input of graphics and images and editing of text, production of print proposals or html materials, etc. we charge according to the time used, unless a fixed price has been agreed beforehand.
The minimum order value is EUR 30 + VAT.
Supply
Certified translations must be collected in person or, if requested, sent COD. All other translations are also sent by email, fax or post. The costs of shipping and the risks involved are borne by the Customer. EUROLINGUA shall not be obliged to store or otherwise deal with the materials provided by the Customer after the execution of the Order. The exception is certified translations, copies of which are usually kept for at least three years. Return of mailed materials is possible only at the request, risk and expense of the Customer.
EUROLINGUA’s service is fulfilled by hand-delivery of the translation to the client, by handing it over to the post office, by handing it over to a mail delivery company, by sending it by e-mail or by uploading it to an agreed electronic medium (e.g. a server, the internet).
Delivery times
Delivery dates are only binding if expressly confirmed in writing by EUROLINGUA. If no delivery time has been agreed between the client and EUROLINGUO, we will deliver the translation within a timeframe that allows for the flawless execution of the order. Delivery times are defined in working days. The day of order and the day of delivery are not counted towards the delivery time.
A higher power
If there are obstacles in the form of force majeure (e.g. internet network failure, other technical malfunctions, employee downtime due to illness, strike, power outage, traffic congestion, etc.) and other circumstances beyond our control and not caused by EUROLINGUE’s fault, and we are prevented from performing the services as a result, we shall immediately inform the Customer thereof, excluding the Customer’s right to terminate the contract or to a reduction in the price. The time limits start to run only after normalcy has been restored.
Payment terms or retention of title
Unless otherwise agreed, EUROLINGUE invoices shall be settled immediately upon acceptance or receipt,
without deductions. The Customer receives the invoice in person, electronically or by post. Payment is made by bank transfer, cash or credit or debit card. Other payment methods are possible by agreement. In some cases, we charge for part or all of the service upfront. Any corrections do not justify a delay in payment.
Payments from abroad are free of charge. The Customer shall bear all bank charges.
In the case of larger contracts, the services are invoiced in the partial amounts or partial advances necessary to complete the contract. Furthermore, we reserve the right to make the delivery of the translation conditional upon payment of the full fee in advance. In the event of non-compliance with the payment terms agreed between the Customer and EUROLINGUO, we shall be entitled to suspend the provision of the Services until the Customer has fulfilled its obligations. This also applies to orders for which a fixed delivery period has been agreed.
If the Customer cancels the order without legally or contractually justified reasons, EUROLINGUA shall hand over the order executed up to that moment and charge the Customer for the partial service. In this case, EUROLINGUI shall be entitled to damages for loss of profit equal to the full value of the order and to claim any further damages.
In the event of late payment by the Customer, EUROLINGUA reserves the right to charge the Customer bank default interest from the date of default (date of invoice + 7 days) or interest at 10% above the base rate of the National Bank of Slovenia until full payment of the claim. The delivered translation or service remains the property of EUROLINGUE until all claims have been paid in full. The Customer is not entitled to set-off against other claims.
The waiver of rights arising from a contract between EUROLINGUE and its customer is only possible with the written consent of EUROLINGUE.
Copyright
The copyright and right to use translations, adaptations of texts, terminology databases and documentation translated by EUROLINGUA remain with EUROLINGUA until the invoice is paid in full. Only after the invoice amount has been paid in full do these rights pass to the customer.
The Customer warrants and confirms that the translation of the source material and the published text, distribution, sale and any other use of the ordered translation do not constitute an infringement of any patent, copyright, trademark or other rights of third parties. The Customer assures that EUROLINGUO will not be burdened by such claims. EUROLINGUA does not guarantee the templates, shipping warnings, processing regulations and the like made available by the Customer. EUROLINGUA is not obliged to check the compliance of the materials with the legal provisions.
Services
EUROLINGUA undertakes to translate the text professionally and to the agreed quality and language. EUROLINGUA will only take into account the client’s specific technical terminology in its work if the client provides it in the form of appropriate and complete materials, such as TM (Translation Memory), previous translations or glossaries, at the time of the award of the contract. Otherwise, EUROLINGUA translates technical terms with common and commonly understood variants. Contact between the Customer and the Contractor shall only be possible on the basis of EUROLINGUE’s express consent.
We translate texts and sound recordings. We reserve the right to refuse to translate texts with allegedly criminal content and morally objectionable material, even after the conclusion of the contract.
If the translation is intended for print, the client must provide EUROLINGUI with the typeset text before printing. If the Client does not specifically indicate that the translation is intended for printing, or if EUROLINGUE does not submit the set text for inspection before printing, or if the translated text is printed without EUROLINGUE’s permission, EUROLINGUE shall bear sole responsibility for any errors.
EUROLINGUA negotiates separately with the client the prices for additional services such as DTP, printing or layout design and charges for these services separately. The Client shall be liable in the event of any errors contained in the translation proposals.
Complaint, rectification and warranty
The moment of receipt of the translation is the date of sending (date of e-mail, date of mail receipt) by EUROLINGUE or the timestamp on the e-mail. If the client does not object to the service within 10 days, the appeal period starting on the day after the translation has been proven to have been delivered to the client (delivery protocol), it shall be deemed to have been accepted and approved. In this case, the Client waives all rights, claims and demands that may be due to any defects in the translation.
In the event of justified objections based on factual, non-substantial errors, the Client shall be entitled to have the translation corrected by EUROLINGUE within 10 days of the date of submission of the translation. The customer must specify and justify the deficiencies in detail and in writing. At the same time, the customer and EUROLINGUA must agree in writing on a date for the submission of the revised version.
On this basis, EUROLINGUA will start rectifying the defects within the time limit set, if any, but otherwise within the relevant time limit. If the first correction of errors is not successful, EUROLINGUA shall be entitled to correct the translation again on the basis of the Client’s written and reasoned comments. If the second correction of the translation is not successful, the client is entitled to a reduction in the agreed price or to withdraw from the contract. In the latter case, all rights in the translation pass to EUROLINGUO.
Further rights, whatever the legal ground, are excluded in principle. In the case of printing of a translation, EUROLINGUA shall be liable for consequential damages insofar as the Client has sent EUROLINGUA a proofed draft which EUROLINGUA has proofread prior to printing. If the Customer requires the use of its own professional terminology, EUROLINGUA is exempt from any guarantee.
EUROLINGUA does not guarantee urgent orders (orders that need to be completed the same day or the next day or that exceed 6 translation pages per day). Typos, misplaced punctuation and minor errors are in principle excluded if the translation was made without additional proofreading of the text.
All warranty, guarantee and indemnity rights are limited to the value of the order. No liability is excluded for damages resulting from the use of the translation without prior checking of the text by the client.
We shall not be liable for delays or shortcomings in performance resulting from unclear, incorrect or incomplete orders or from errors of substance due to a defective original.
EUROLINGUA does not guarantee the quality of the material in the event that the Customer has been advised at the time of acceptance of the order that the desired production time does not allow the material to be processed in accordance with normal quality standards.
We do not take responsibility for proofreading if the client has not provided us with the source text.
Jurisdiction
The place of sexual union and jurisdiction for deliveries and payments and the rights and legal disputes arising therefrom is Maribor, even if the actual order was agreed and placed in another place. Slovenian law applies.
Final provisions
To the extent that elements of the subject SPPs are or become ineffective, this does not affect the effectiveness of the remaining provisions.
